Overview

Trevor Crow advises closely-held entities through the whole business life cycle, including entity selection, formation, equity and debt financing transactions, acquisitions and the eventual transfer or sale of the business. In addition, he counsels business entities and individuals on tax planning related to real estate and other business transactions. Trevor represents entrepreneurs and promoters in organizing entities, including negotiating and documenting corporate, joint venture, partnership, or limited liability company agreements, and preparing buy-sell and shareholder agreements for the owners. He also represents investors in the negotiation and structuring of financing transactions.

While in law school, Trevor was the managing editor of The Race to the Bottom, a corporate governance online journal, and he is currently the host of the Colorado Entrepreneur Show. Trevor serves on the firm's Wellness Committee and PR/Marketing Committee.

  • Represented a digital media and entertainment company in connection with its entry into an asset purchase agreement and plan of reorganization with a public company. The client sold substantially all of its assets for stock in a transaction that qualified as a “C” Reorganization under I.R.C. § 368(a)(1)(C).
  • Represented engineering company with the negotiation and execution of an asset purchase agreement for the sale of substantially all of its assets in exchange for cash and shares of the purchaser.
  • Represented developer in connection with its purchase of the first and second position deeds of trust through a loan purchase agreement and the contemporaneous acquisition of the underlying real estate and the assignment of agreements and other assets related to the real estate through a deed in lieu of foreclosure.
  • Represented developer in connection with the negotiation and execution of a purchase and sale agreement for the sale of 344 lots and related entitlements to a homebuilder.
  • Represented company in connection with the sale of a 4,100-acre ranch in southern Colorado.
  • Represented real estate developer as issuer in the private placement of $5.5 million of LLC membership units for purchase of land and development of a skilled nursing facility.
  • Represented real estate developer as issuer in the private placement of $3.25 million of LLC membership units for purchase of land and development of a medical office building.
  • Represented technology company in connection with its filing of an S-1 registration statement.
  • Represented technology company as issuer in the private placement of $3.5 million in aggregate principal amount of 12% secured notes, shares of common stock, and three year warrants to purchase common stock.
  • Represented medical device manufacturer as issuer in the private placement of $5 million of Series A preferred stock with warrants.
  • Represented biotechnology company as issuer in the private placement of $3 million of Class A Units.
  • Represented borrower in connection with $30 million senior secured revolving credit facility, with the proceeds used to finance certain permitted acquisitions, refinance existing debt and for working capital purposes.
