Overview

Dimitri Adloff advises clients in a variety of industries on their real estate and business matters.  In his transactional practice Dimitri provides counsel related to purchase and sale transactions, business acquisitions, joint ventures, financings, leasing and general contract matters.  Additionally, Dimitri has extensive experience helping his clients resolve their complex business and real estate disputes through effective negotiation and advocacy.  This combination of transactional and litigation experience allows Dimitri to see potential issues during the early stages of a transaction, before they pose a more serious problem.  It also gives him the tools necessary to help clients find workable business solutions to disputes that have reached the litigation stage.  He strives to be thoughtful, responsive, and pragmatic, and to maintain a focus on his clients’ ultimate business goals.

Dimitri contributes to the firm’s real estate blog, where his posts often deal with recent court decisions and statutes affecting real estate businesses.  Fluent in Russian, Dimitri is proud to be able to provide legal counsel to both English- and Russian-speaking clients.  Dimitri currently serves on the firm’s Associate Development Committee and Recruiting Committee.

Transactional Experience

  • Represented founder of operating business in sale of membership interests.
  • Drafted numerous joint venture agreements and related documents for complex development deals.
  • Advised clients in connection with forming and structuring subsidiary and affiliated entities to achieve business goals.
  • Assisted client in connection with the sale of a hotel property for over $70 million.
  • Advised client in connection with numerous potential asset and stock purchases.
  • Represented owner of office and retail portfolio in connection with litigation, leasing and the sale and refinancing of a portion of its Colorado portfolio.
  • Helped client negotiate and close on the financing for the purchase of a commercial property and the refinancing of an existing commercial development.
  • Represented client in complex purchase and sale transactions involving simultaneous sale of a portion of the purchased property to a third-party.

Litigation Experience

  • Obtained numerous judgments on promissory notes and guaranties and successfully defended against claims of lender liability.
  • Helped client obtain significant tax refund through successful appeal of erroneous Board of Assessment Appeals decision.
  • Part of litigation team that prevailed on complex title issues in a mineral rights case with over 40 adverse parties, and assisted in the negotiation of a favorable settlement to recover millions of dollars for clients.
  • Invalidated mechanics’ lien through summary judgment motion and successfully defended ruling on appeal.
  • Part of litigation team that prevailed at trial in a complex commercial lease dispute involving a mutual mistake of fact.
  • Negotiated favorable easement agreement for clients before trial and then prevailed at trial on remaining issues of road maintenance.
  • Negotiated complex forbearance and deed-in-lieu of foreclosure agreements on behalf of both lenders and borrowers.
