• Represented real estate investment firm in connection with numerous joint venture negotiations and corporate structuring matters, including (i) a $200 million luxury condominium development project in downtown Denver, (ii) a $500 million multi-phase, mixed-use development in the Atlanta area; and (iii) the restructuring and acquisition of a $300 million portfolio of assets.
• Represented real estate investment, development and management firm focused on the manufactured housing industry in connection with multiple joint ventures, fund formations, restructuring transactions, and acquisitions, including a $130 million portfolio acquisition and related joint venture agreement, and a multi-tier, multi-property development joint venture with over $90 million in equity contributions.
• Represented real estate sponsor and developer focused on the multifamily industry in connection with negotiating and structuring numerous joint ventures totaling hundreds of millions of dollars in equity, including a complex, programmatic joint venture that acquired numerous assets over a five-year period.
• Represented private sponsor group in connection with the complex, recapitalization, corporate restructuring and refinancing of a 25-property portfolio of manufactured housing communities.
• Represented developer in private-public partnership for the development of a portion of Denver’s historic Auraria campus as a career hub, mission-oriented retail space, and student-housing.
• Represented developer in the negotiation of the joint venture for the acquisition and development of the Oceanwide Center project in downtown San Francisco.

Representative M&A experience includes:

• Represented private sponsor group in the acquisition of a boatbuilding and repair company with multiple marinas, including negotiation of senior and subordinated loans, and multiple layers of equity investment.
• Represented a railroad and logistics company in connection with numerous acquisitions, restructuring transactions, and contracting matters, including the acquisition of (i) multiple railroads and rail-served industrial development parks, (ii) three transloading facilities and a sand mine from a Canadian company subject to a multi-jurisdictional bankruptcy proceeding, and (iii) a manufacturing and oil field logistics business.
• Represented private sponsor group in the acquisition of multiple transportation, warehousing, logistics, and construction and remediation businesses.
• Represented manufacturing, processing and wholesale distribution and agricultural company in connection with numerous strategic mergers and acquisitions.
• Represented family office in connection with multiple M&A and joint venture transactions in the service, manufacturing, and technology industries.
