Our Business Transactions & Capital Markets group regularly advises the firm’s clients in structuring and completing a wide range of transactions – from fund formation and joint ventures, to complex mergers and acquisitions.

Our Approach: Long-Term Relationships, Responsive and Practical Solutions

Our team has the experience and expertise necessary to help clients negotiate and structure complicated business transactions across a variety of industries including, real estate, private equity, transportation, manufacturing, energy and technology. When our clients seek to acquire or sell an existing business or asset (whether it be through a merger, asset sale, or equity interest acquisition), we help negotiate the risks involved through thoughtful due diligence, careful drafting, practical advice and effective advocacy. We create tax-efficient structures and we leverage our firm’s expertise in real estate, bankruptcy and litigation to ensure that each key facet of a deal receives appropriate consideration.

In the past decade, we have witnessed first-hand the growth in private equity and other private investment funds and have gained invaluable experience representing fund sponsors in structuring, capitalizing and placing equity funds of many sizes, investment strategies and levels of complexity. In particular, our attorneys have become known for their expertise in drafting and negotiating complex joint venture agreements to facilitate lasting partnerships between institutional capital investors and sponsors across varying industries. Given our firm’s real estate background, we have extensive expertise in structuring funds and negotiating joint venture agreements for real estate deals of all shapes and sizes, including agreements involving programmatic relationships spanning multiple properties and asset classes.

After a business is acquired or a joint venture is consummated, our group continues to offer responsive advice and service in connection with the many matters that arise for any operating business. Whether it be negotiating a multi-million dollar master services agreement, structuring an employee compensation plan, or implementing a strategic restructuring, our attorneys work tirelessly to understand and implement our clients’ business goals. In each case, we strive to take the long-term approach, understanding that what happens today can have lasting impacts and that the best legal solutions must be practical, responsive and efficient for both the client and the particular deal. As a result, many of our attorneys have been advising the same clients for many years through numerous transactions and businesses.
